Chapter PD: Corporate Finance

This session will be of benefit to members in industry or members working with small to mid-sized clients who are seeking business financing or are considering a merger or acquisition.

OBJECTIVE
Studies tracking mergers and acquisitions indicate that somewhere between 50 percent to 80 percent of acquisitions destroy shareholder value for the acquirer and/or fail to meet their strategic objectives. This half day session focuses on three key corporate finance areas: key risks around company valuation, the importance of the post‐merger integration process, and main sources of corporate funding.

At the end of this course the participant should be able to:

• Identify the characteristics associated with value creating acquisitions

• Explain the importance of the post‐merger integration process
• Understand and better evaluate the various sources of corporate funding

• Senior and subordinated debt funding sources

SPEAKER
SCOTT POWELL, CPA, CA is a managing director of MDA Training North America. Now based in Vancouver, Scott spent most of his career working in London, New York, and Hong Kong. Scott’s specific area of focus is the design and delivery of customized training solutions for clients in the financial services sector – particularly in the areas of commercial banking, investment banking, capital markets and asset management.

Scott’s clients include ATB Financial, Bank of America Merrill Lynch, Bank of Montreal, Brandes Investment Partners, Credit Suisse, Coast Capital Savings, Deutsche Bank, Glenview Capital, HSBC, ING, Intact Insurance, JP Morgan, Royal Bank of Scotland, TD and many others.

Scott is also a UK Chartered Accountant, holds an honours degree in Politics/Economics from Trent University, Canada and a master’s degree in Economics from Cambridge University.
